Terms and Conditions of Registration and Participation

These are the terms and conditions (the “Agreement”) that govern your participation in The Toronto Real Estate Summit (also referred to as the “Event”), a virtual Toronto real estate conference held from July 20, 2020 – July 23, 2020.

By registering for the Event, you expressly agree to these terms and conditions, which form a legal contract between Realosohy Realty Inc. (“Realosophy” or “we” or “us” or “our”) and the registered attendee and/or participant (“you”). Realosophy may revise this Agreement at any time by posting the revised Agreement on its website and you agree that your continued use of the website and access to the Event shall constitute your acceptance of such changes. Changes to this Agreement will not be applied retroactively.

The Event’s website, www.MoveSmartly.com (the “Site”)  including all of its features, information, materials, promotions and other content (the “Event Content” or “Content”) is a provided and made available by Realosophy or its affiliates and all Content provided on or through this Site may be used only in accordance with this Agreement.

If you are registering on behalf of another individual, it is your responsibility to ensure that the person attending is aware of these terms and conditions and accepts them. By completing the online registration, you warrant and represent that you have made the attendee aware of these terms and that they have accepted these terms.

1. Event admission

1.1.  Admittance. Your online registration entitles you to participate in the Event, including receiving Content which will be distributed, virtually, as part of the Event. For registrants who selected the Video Library option, you will have unrestricted access to the Event Content for up to one (1) year after the Event.  

1.2. Registration. You agree to provide accurate and complete registration information to participate in the Event and access the Site. It is your responsibility to inform us of any changes to that information. If you believe there has been unauthorized use of your personal information, including your registration, you must notify us immediately by emailing: info@realosophy.com

1.3.  Termination. You acknowledge that Realosophy reserves the right to terminate your access to the Event, for any reason, including any online behaviour it considers inappropriate and interfering with other’s participation in the Event.

1.4.  Media. By attending the Event you acknowledge and agree to grant Realosophy the right at the Event to record, film, photograph or capture your likeness in any media now available and hereafter developed and to distribute, broadcast, use or otherwise globally to disseminate, in perpetuity, such media without any further approval from you or any payment to you. This grant to Realosophy includes, but is not limited to, the right to edit such media, the right to use the media alone or together with other information, and the right to allow others to use and/or disseminate the media.

1.5.  Event Content. You acknowledge and agree that Realosophy, in its sole discretion, reserves the right to change any and all aspects of the Event, including but not limited to, the Event name, themes, content, program, speakers, performers, hosts, moderators, venue and time. You acknowledge and agree that Realosophy shall not, in any way, be liable for any such change(s).

2. Registration Fee(s)

2.1 Payment. The payment of the applicable fee(s), including any taxes, for the Event is due upon your registration for the Event. If such payment is insufficient or declined for any reason, Realosophy reserves the right to refuse your participation, which includes receiving Content during and/or after the Event. You agree and acknowledge that Realosophy shall have absolutely no liability in this regard and waive any right to claim damages for any matter relating to registration fee(s).    

3. Substitution and Cancellation Policy

3.1 After registering for the Event, if you cancel your registration more than 24 hours prior to the start date of the Event, you will receive a 100% refund of the amount of your registration payment. If you cancel within after the start date of the Event, you will not be eligible for a refund. Your registration is not transferrable.   

4. Privacy Policy

4.1. Realosophy is committed to protecting the privacy of its customers as well as the Personal Information Protection and Electronic Documents Act, S.C. 200, c. 5. As a condition of your registration and as part of this Agreement, you agree to abide with the Event’s Privacy Policy and acknowledge you have had the opportunity to access and review the Privacy Policy.

5. Intellectual Property and Proprietary Rights

5.1. All intellectual property rights in and to the Event, including but not limited to the Event Content and all materials distributed at or in connection with the Event are owned exclusively by Realosophy. You may not use, copy, reproduce or allow anyone to use, copy or reproduce any trademarks or other trade names appearing at the Event, in any Event content and/or in any materials distributed at or in connection with the Event for any reason without the prior written permission of Realosophy.  

5.2. For greater clarity, nothing in this Terms of Use shall be deemed to vest in you or otherwise create any legal or beneficial right in or to any trademarks or other intellectual property rights owned or used under licence by Realosophy or grant to you any right or licence to any other intellectual property rights of Realosophy, which shall at all times remain the exclusive property of Realosophy.

5.3. Any and all materials related to the Event, including is Content, are the sole and exclusive property of Realosophy and its licensors, if any. You hereby agree and acknowledge that, as between Realosophy and you, all right, title, ownership and interest in and to the Event and its Content shall be exclusively owned by Realosophy. You are prohibited from any unauthorized use of the Content in any way not expressly permitted by this Agreement.

5.4. You grant Realosophy an irrevocable, non-exclusive, royalty-free, perpetual, worldwide licence to any material you submit to the Site or to Realosophy, including any postings to the Site. This licence is without restrictions of any kind and without any payment due from Realosophy to you or permission or notification, to you or any third party. The licence includes the right to make available, use, sell, reproduce, publish, modify, adapt, prepare derivative works from, combine with other works, translate, distribute, display, communicate to the public by telecommunication, perform and sublicence any submissions or postings in any form, medium, or technology now known or hereafter developed.

5.5. You represent and warrant that any material submitted to or posted on the Event’s Site: (i) are your original works or that the owner of such works has expressly granted to Realosophy a perpetual worldwide royalty-free irrevocable, non-exclusive licence for said work; (ii) do not violate and will not violate the rights of any third party including any right of publicity, right of privacy, copyright, patent or other intellectual property right or any other proprietary right; and (iii) that you have obtained any and all consent required pursuant to any applicable privacy legislation to submit any personal information about another individual or third party to us.

6. Warranties and Limitation of Liability

6.1. Realosophy gives no warranties in respect of any aspect of the Event or any Event Content thereto or offered at the Event and, to the fullest extent possible under the laws governing this Agreement, disclaims all implied warranties, including but not limited to warranties and representations of fitness for a particular purpose, accuracy, timeliness, suitability and merchantability. Realosophy accepts absolutely no responsibility or liability for personal or business reliance by you or any person on any aspect of the Event and/or any information provided at or through the Event.

6.2.  Other than to the extent required as a matter of law, Realosophy shall not be liable for any direct, indirect, special, incidental, or consequential costs, damages or losses arising directly or indirectly from the Event or other aspect related thereto or in connection with this Agreement.

6.3.  You agree and acknowledge that the maximum aggregate liability of Realosophy for any claim in any way connected with therewith or this Agreement whether in contract, tort or otherwise (including any negligent act or omission) shall be limited to the amount paid by you, if any, to Realosophy, under this Agreement, to register for the Event.

7. Miscellaneous

7.1. If any provision of this Agreement is held to be illegal, invalid or unenforceable, such provision shall be struck and the remaining provisions shall remain in full force. 

7.2. Headings are for reference purposes only and in no way define, limit, construe or describe the scope or extent of such section. 

7.3. Realosophy’s failure to act with respect to any failure by you or others to comply with these Terms of Use does not waive Realosophy’s right to act with respect to subsequent or similar failures. 

7.4. These Terms of Use set forth the entire understanding and agreement between you and Realosophy with respect to the subject matter hereof. 

7.5. You may not assign or transfer your rights or obligations under this Agreement without the prior written consent of Realosophy, and any assignment or transfer in violation of this provision shall be null and void. 

7.6. Realosophy reserves the right to seek all remedies available at law and in equity for violations of this Agreement including,  without limitation, the right to block access from to the Event and its Content.  

7.7. We reserve the right to investigate complaints or reported violations of this Agreement and to take any action we deem appropriate, including but not limited to, reporting any selected unlawful activity to relevant law enforcement officials, regulators or other third parties and disclosing such information as reasonably necessary to such persons or entities relating to your user profile(s), email address, posted material, history and IP address.

8. Governing law and jurisdiction

8.1. This Agreement shall be governed by the laws of the Province of Ontario and the parties shall submit to the exclusive jurisdiction of the Ontario Superior Court of Justice.
